GR Reserve User Agreement

By accessing the website grreserve.com, placing any order with GR Reserve, or using any of our services—whether through our website, by telephone, email, or other means—you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this User Agreement (the “Agreement”). These terms govern all purchases from GR Reserve, sales to GR Reserve, and all related services provided by GR Reserve LLC and its parent company, Glines & Rhodes Inc.

This Agreement constitutes a legally binding contract between you (the “Customer” or “you”) and GR Reserve LLC, a Massachusetts limited liability company operating under Glines & Rhodes Inc. (“GR Reserve,” “we,” “us,” or “our”). Please read this Agreement carefully before using our services or placing any orders.

Headings are descriptive only and do not limit the contractual scope of any provision. Capitalized terms used throughout this Agreement are defined in Section 14.

Buying from Us

Order Minimums and Maximums

Retail Orders – U.S. Domestic: No minimum order requirement applies to domestic retail customers within the United States.

Retail Orders – International: All international retail orders must meet a minimum threshold of USD $250.00 per transaction. This minimum helps offset the additional costs and complexities associated with international shipping, customs processing, and currency conversion.

Wholesale Orders: Wholesale customers must adhere to SKU-specific carton minimums as displayed on individual product pages. These minimums reflect manufacturer packaging requirements and ensure efficient inventory management. Wholesale pricing and terms are available only to pre-approved wholesale accounts.

Maximum Order Limits: We do not impose maximum order limits under normal circumstances. However, any single order that we consider significant in value (typically USD $250,000 or greater) may require an up-front good-funds deposit of up to ten percent (10 %) of the total order value before a Price Lock is issued. This deposit requirement helps ensure serious intent and provides additional security for high-value transactions.

Price Confirmation and Lock Period

The price displayed at checkout becomes your locked-in price immediately when your order number is generated, which we refer to as the “Price-Lock Time.” This price lock protects you from market fluctuations and ensures pricing certainty for your purchase. Once your price is locked, you have five (5) Business Days to deliver cleared funds to GR Reserve as specified in Section 2 of this Agreement.

GR Reserve adds only actual shipping costs, insurance premiums, and any applicable payment-processing surcharges to your locked product price. We do not charge commissions or hidden fees beyond these transparent, cost-based additions. All applicable fees and surcharges are clearly disclosed during the checkout process before you complete your order.

Order Finality and Legal Obligations

Binding Agreement: Once you have placed an order with GR Reserve, you have entered into a binding legal agreement that creates mutual obligations for both parties. We invest significant resources in inventory management, price hedging, and order processing based on confirmed orders, and we expect customers to honor their commitments.

Order Cancellation by Customer: Confirmed orders cannot be canceled by customers once the Price Lock has been issued. This policy ensures pricing integrity and prevents market manipulation. The binding nature of orders protects both parties from market volatility and ensures fair business practices.

Order Cancellation by GR Reserve: GR Reserve reserves the right to refuse or cancel any order for any reason or for no reason at all, regardless of payment method or price confirmation. This includes, without limitation, orders we deem questionable or suspicious, orders we consider to present significant risk, situations where confirmed pricing is incorrect due to technical errors, periods of abrupt movements in precious-metal markets, and instances where payment is not received within the allotted timeframe.

Pricing and Technical Errors: GR Reserve is not responsible for pricing or typographical errors and expressly reserves the right, in our sole and absolute discretion, to cancel any and all orders placed with respect to items affected by such errors. In the event of a canceled order due to pricing errors, we will contact you directly with notification of the cancellation and will provide a full refund.

Order Modifications

Once an order has been confirmed and a Price Lock has been issued, you cannot modify the quantity, product type, delivery address, or payment method. This policy ensures pricing integrity and prevents market manipulation. If you need different items or wish to change order details, you must place a new, separate order under then-current pricing and terms.

Payment Deadline and Default

If we do not receive your cleared payment within the five (5) Business Day lock period, GR Reserve may, at its discretion:

  • Accept the late payment under then-current terms and pricing
  • Reject the funds and cancel the order
  • Restrict or suspend your ability to place future orders
  • Pursue recovery under our Market-Loss Policy as outlined in Section 9

The price-lock benefit transfers to you at the Price-Lock Time, which means you bear the market risk if payment is delayed beyond the specified deadline. This policy ensures fair risk allocation and prevents customers from using our platform for unauthorized market speculation.

Pre-Orders

Pre-Order Policy: Pre-orders are accepted for items not yet available from manufacturers or mints. Pre-orders are subject to the same binding agreement terms as regular orders and cannot be canceled once confirmed.

Pre-Order Fulfillment: If GR Reserve is unable to supply a pre-ordered item for any reason, including manufacturer delays, production issues, or supply-chain disruptions, the order will be refunded in full or exchanged for an equivalent item of comparable value, at our discretion.

Pre-Order Timeline: Pre-orders may require extended fulfillment periods beyond our standard processing times, depending on manufacturer schedules and product availability. We will provide estimated availability dates when possible and update customers on any significant delays.

Sending Your Payment

Payment instructions are provided on the post-checkout confirmation screen and are automatically emailed to you immediately after order placement. All payments must be dated within twenty-four (24) hours of your Price-Lock Time to maintain your locked pricing. Payments dated beyond this window may be subject to repricing at current market rates.

Wholesale Card Surcharge: Wholesale accounts using credit-card payments incur an automatic five percent (5 %) surcharge applied at checkout. This surcharge reflects the higher processing costs associated with wholesale transaction volumes and helps maintain competitive wholesale pricing for other payment methods.

Credit Cards and Digital Wallets

Credit-card processing is provided through PayPal Advanced Card Processing with 3-D Secure authentication for enhanced security. For security and fraud-prevention purposes, we ship orders paid by credit card only to the verified billing address associated with the card. GR Reserve reserves the right to request photo identification, additional verification documents, or to decline credit-card transactions at our sole discretion based on risk-assessment factors.

Accepted credit cards include major brands such as Visa, MasterCard, American Express, and Discover. We also accept payments through digital wallets including PayPal, Apple Pay, and Google Pay where available.

PayPal Balance Payments

PayPal checkout transactions are treated as cleared funds immediately upon PayPal’s return of an “APPROVED” status. The Price-Lock Time occurs when PayPal confirms the transaction, allowing for immediate order processing and faster fulfillment.

Bank Wire Transfers and ACH

Wire-transfer coordinates and ACH instructions are displayed after order confirmation and included in your confirmation email. You are responsible for all bank fees associated with wire transfers, including intermediary-bank charges. Orders paid by wire transfer or ACH ship only after irrevocable credit appears in our designated bank account.

Wire transfers typically clear on the same business day if received during normal banking hours. ACH transfers may take one to three business days to clear, depending on your bank’s processing schedule.

Good Funds Policy

For the purposes of this Agreement, “Good Funds” means:

  • Wire transfers that have cleared and posted to our account on the same business day
  • ACH transfers that have posted to our account
  • PayPal payments with “APPROVED” status
  • Four (4) Business Days have passed since receipt of any check-equivalent instrument

This policy ensures that funds are verified and irrevocable before we commit inventory and begin order-fulfillment processes.

Currency Requirements

GR Reserve accepts payment only in United States Dollars (USD). Foreign wire transfers must convert to USD and land in our account net of all intermediary-bank fees and currency-conversion charges. The customer is responsible for ensuring that the full USD amount reaches our account.

Sales Tax and Additional Fees

Sales Tax: All fees quoted on our website and in this Agreement are exclusive of sales tax. Sales tax may be collected on our products in accordance with applicable state and local tax laws. The amount of sales tax, if any, will be calculated and displayed during the checkout process.

Tax Responsibility: It is the customer’s responsibility to pay all applicable taxes and duties, including Value Added Taxes (VATs) or any handling fees incurred by customs or broker agencies, depending on the country of import. By agreeing to these Terms and Conditions, you acknowledge that any taxes or duties, including VATs or handling fees incurred by customs or broker agencies, will be your sole responsibility, and GR Reserve will not be held liable for any such fees.

Shipping and Insurance

Standard Shipping Methods and Timeline

GR Reserve ships orders via United States Postal Service (USPS) Registered Mail and United Parcel Service (UPS), depending on order value, destination, and customer preferences. Although most orders are shipped within three (3) Business Days of payment clearance, in extreme circumstances shipment may take up to thirty (30) days from completed payment, depending upon the manner of delivery, product availability, and operational factors beyond our control.

Domestic shipments typically arrive within three to ten (3-10) Business Days, depending on the shipping method selected and destination location. We provide tracking information via email once your order ships, allowing you to monitor delivery progress throughout the shipping process.

Comprehensive Insurance Coverage

Full Value Insurance: All shipments are fully insured for their complete sale value from the time of shipment. GR Reserve maintains comprehensive insurance coverage to protect your investment during transit, ensuring that you receive either your products or full compensation in the event of loss or damage.

Insurance Coverage Requirements: Insurance coverage is provided under the condition that you directly receive the package from the common carrier (USPS, UPS, FedEx, or other designated shipping service). To maintain insurance coverage, you must personally accept delivery and provide signature confirmation when required.

Insurance Coverage Limitations: Neither GR Reserve nor our insurance company accepts responsibility (and we specifically disclaim liability) if you have:

  • Left instructions with any carrier or delivery service to leave parcels for you without requiring your signature
  • Given any carrier or delivery service instructions to leave your package with someone else, such as a building manager, neighbor, or third-party location
  • Authorized delivery to drop-off locations such as Mail Boxes Etc., The UPS Store, or similar third-party drop-off locations
  • Used freight-forwarding services or mail-forwarding companies

In any such cases, your package will not be covered for insurance by GR Reserve or our insurance carrier, and you assume full risk of loss or damage.

Claims Process and Customer Cooperation

Lost Package Claims: In the case of a lost package, you must notify GR Reserve within thirty (30) calendar days from the ship date of your order. Prompt notification is essential for initiating insurance claims and recovery procedures.

Damage and Shortage Claims: Any issues or problems with a shipment, including damage or shortage of items, MUST be reported within two (2) Business Days of delivery. Failure to report issues within this timeframe may jeopardize our ability to process claims with our insurance carrier.

Customer Cooperation Requirements: If you do not receive a package directly from the common carrier, you agree to take all reasonable actions to assist in recovery of the package, including but not limited to:

  • Filing detailed reports with the shipping carrier
  • Filing police reports when requested or when circumstances warrant
  • Providing all information needed or requested to assist in package recovery
  • Cooperating fully with any investigation or claim process
  • Taking every reasonable action requested during the recovery process

Cooperation Consequences: If you do not fully cooperate in recovery efforts, neither GR Reserve nor our insurance company or carrier will have any liability to you. Full cooperation is essential for maintaining insurance coverage and claim eligibility.

Claims Resolution and Company Responsibilities

Company Claim Responsibilities: When products are lost or damaged in transit, it is GR Reserve’s responsibility to pursue any claim with the insurance company. We will determine whether a package is lost or damaged and file appropriate claims with our insurance carrier.

Resolution Options: Once a claim is filed, we reserve the right to either re-ship your items or refund your money at our discretion. GR Reserve shall have no further responsibility or liability to you beyond providing replacement items or full refund as determined appropriate under the circumstances.

Investigation Cooperation: If there is any disruption in the delivery of a package to you, you agree to cooperate with us in any investigation or claim process. Failure to fully cooperate will jeopardize any coverage that may be provided to you under our insurance policy.

Back-Ordered Items

Supply-chain disruptions, mint delays, or inventory shortages may occasionally require additional handling time of up to twenty-eight (28) calendar days beyond our standard processing time. Your locked price remains valid and protected during back-order periods, provided your payment has cleared according to the terms of this Agreement.

We will notify you promptly if any items in your order are back-ordered and provide estimated availability dates when possible. You may choose to wait for back-ordered items or cancel that portion of your order without penalty, subject to our standard cancellation policies.

Split Shipments

GR Reserve may, at our discretion, ship orders in multiple packages to optimize delivery speed, security, or inventory management. Each package is treated as a separate shipment for insurance and claims purposes. Split shipments do not incur additional shipping charges beyond those disclosed at checkout.

Fast-Fulfillment Program

Our Fast-Fulfillment Program is designed to provide expedited service for qualifying orders. Orders that meet all of the following criteria typically ship on the next Business Day:

  1. Successfully clear our security and compliance screening procedures
  2. Are paid in full by credit card or PayPal before 2:00 PM U.S. Eastern Time
  3. Do not contain pre-sale items, back-ordered products, or special-order items
  4. Are shipped to addresses within the continental United States

Service Interruptions: The Fast-Fulfillment commitment may be suspended due to circumstances beyond our reasonable control, including but not limited to severe weather conditions, system maintenance alerts, enhanced Anti-Money Laundering (AML) or Know Your Customer (KYC) review requirements, carrier service interruptions, or federal holidays.

Service Guarantee: If we fail to meet our Fast-Fulfillment commitment by more than one (1) Business Day due to circumstances within our control, we may, at our discretion, issue a USD $10.00 credit coupon applicable toward your next retail order of USD $100.00 or more. This remedy represents our complete liability for Fast-Fulfillment delays.

International Orders

Minimum Order Requirements

All international orders must meet a minimum value of USD $250.00 per transaction. This minimum helps offset the additional costs, documentation requirements, and processing complexities associated with international shipping and customs procedures.

Customs, Duties, and Tax Responsibilities

Customer Responsibility: Import Value Added Tax (VAT), Goods and Services Tax (GST), customs duties, brokerage fees, and any other taxes or charges imposed by your country’s customs authorities are entirely your responsibility. GR Reserve cannot predict or control these charges, which vary by destination country and product type.

Full Value Declaration: We declare the full purchase value of all international shipments on customs documentation. We do not mark packages as “gifts,” undervalue items, or make false customs declarations under any circumstances. Such practices violate international trade laws and could result in serious legal consequences for both parties.

Import Compliance: You acknowledge that you are responsible for all importation compliance requirements in your destination country. This includes ensuring that the products you order are legal to import and that you have any required permits or licenses.

International Shipping Methods

International orders ship via USPS Priority Mail International, UPS Worldwide Express, or FedEx International Priority, depending on destination, value, and service availability. All international shipments include tracking and require signature confirmation upon delivery.

Returned International Shipments

Return Circumstances: If your international order is returned to GR Reserve due to your refusal to pay duties or taxes, carrier inability to deliver your order, incorrect address information, or other delivery failures, you agree that you are responsible for significant additional costs.

Return Cost Responsibility: You are responsible for:

  1. Any return shipping fees charged by the carrier
  2. Additional duties or taxes we are required to pay for the returned package
  3. Any applicable taxes for returning the package back to GR Reserve
  4. Re-shipment fees if you choose to have the order shipped again

Re-shipment Conditions: If your package is returned to GR Reserve, we will not re-ship your order unless and until we are paid in full for any return shipping costs, duties, taxes we have had to pay or advance for you, as well as any subsequent re-ship fees back to you.

International Return Timeline: International returns and re-shipments are very costly and time-consuming. Delays for GR Reserve re-ships could take four to six (4-6) weeks or longer to complete when packages are not received as they should be. We strongly suggest making yourself aware of any duties or taxes before packages are shipped to avoid surprises, and making yourself available to the delivery company so your package is not returned to GR Reserve.

Export Compliance

All products sold by GR Reserve are subject to United States export laws. Accordingly, no product may be exported or re‑exported into—or to a national or resident of—Cuba, Iran, North Korea, Syria, or any other country subject to a U.S. embargo. Nor may any product be exported or re‑exported to any person or entity listed on the U.S. Treasury Department’s Specially Designated Nationals list or the U.S. Commerce Department’s Table of Denial Orders. By placing an order with GR Reserve you affirm your agreement to comply fully with all applicable U.S. export restrictions.

Return Policy

Quality Guarantee

GR Reserve guarantees the authenticity and advertised precious-metal content of all products we sell. Every item is carefully inspected before shipment to ensure it meets our quality standards and matches the product description provided on our website.

Return Limitations and Timeline

Limited Return Window: GR Reserve’s return, refund, and exchange policy is limited to five (5) Business Days from the date that you received your item. This limited timeframe reflects the volatile nature of precious-metals markets and the specialized nature of our products.

Eligible Return Reasons: Returns are restricted to cases involving:

  • Material defects in the product itself
  • Fulfillment errors on our part (wrong item shipped)
  • Authenticity issues (extremely rare given our sourcing procedures)
  • Significant discrepancies from advertised specifications

Returns based on market price changes, buyer’s remorse, or subjective preferences are not accepted.

Return Procedure

Initial Contact: If you believe you have received a defective item, please contact us at [email protected] within five (5) Business Days of delivery. Include detailed photographs of the item and any perceived defects or issues.

Return Assessment: GR Reserve will assess whether the product is eligible for a return, refund, or exchange based on the information and photographs provided. Not all requests will be approved for return.

Approved Returns: For approved returns, you must follow all instructions provided by us, including:

  1. Obtaining a Return Merchandise Authorization (RMA) number
  2. Following specific packaging instructions to ensure safe return transit
  3. Using appropriate shipping methods with full insurance coverage
  4. Bearing the cost of return shipping and assuming risk of loss during return shipment

Return Resolution

Upon receipt and inspection of returned items, GR Reserve will, at our sole discretion, either:

  • Replace the item with an identical piece from current inventory
  • Provide a refund of the original purchase price (excluding shipping charges)
  • Offer an exchange for an equivalent item of comparable value

Return Rejection: Items showing wear, tampering, damage from handling, or evidence of third-party grading service removal will be rejected and returned to you at your expense. Original shipping charges are non-refundable in all cases.

Customer Responsibility: You are responsible for the cost of return shipping and bear the risk of loss during the return shipment. We recommend using insured shipping methods with signature confirmation for all returns.

Investment Risk: Precious metals should be considered speculative investments suitable only for individuals who can afford potential losses. You should invest only discretionary funds that you can afford to lose without affecting your financial security or lifestyle.

Numismatic and Collectible Risks

Collectible Market Risks: Numismatic coins and collectible precious-metals items carry additional risks beyond those associated with bullion products. The collectible market can be highly subjective, illiquid, and subject to changing collector preferences, grading standards, and market trends.

Grading and Authentication: While we source products from reputable mints and suppliers, grading and authentication of numismatic items involves subjective judgments that may vary between different grading services or experts. We cannot guarantee that third-party grading services will assign the same grades to items we sell.

Technology and Website Risks

System Availability: While we strive to maintain continuous website availability, our online systems may occasionally experience downtime for maintenance, upgrades, or due to circumstances beyond our control. We are not liable for losses resulting from inability to access our website or complete transactions during system outages.

Pricing Errors: Although we implement multiple safeguards, technical errors may occasionally result in incorrect pricing, product descriptions, or availability information on our website. We reserve the right to correct such errors and cancel orders placed based on erroneous information.

Investment Advice Warranty

GR Reserve has not offered or given you any investment advice and has expressed no opinion regarding the suitability of any transaction. You expressly warrant and acknowledge that all purchase and sale decisions are made solely by you and not in reliance on any representation by GR Reserve.

Selling to Us

Wholesale Partnership Program

GR Reserve currently purchases precious metals and numismatic items primarily from pre-approved wholesale partners and established industry relationships. Our buying program focuses on items that align with our inventory needs and customer demand patterns.

Selling Process

If you wish to sell precious metals or numismatic items to GR Reserve, please contact our wholesale purchasing team at [email protected] to begin the evaluation process. Include detailed information about the items you wish to sell, including:

  • Detailed product descriptions and quantities
  • High-quality photographs of all items
  • Proof of ownership and acquisition history
  • Any relevant grading certificates or documentation

Purchase Terms and Conditions

All buy-back transactions are subject to separate Purchase Terms and Conditions, which include:

  • Specific shipment deadlines and packaging requirements
  • Comprehensive quality inspection procedures
  • Enhanced Anti-Money Laundering (AML) and Know Your Customer (KYC) verification
  • Market-Loss provisions analogous to those outlined in Section 9 of this Agreement
  • Payment terms and methods for approved purchases

Evaluation and Pricing

Our purchasing team will evaluate submitted items based on current market conditions, item condition, authenticity, and our inventory needs. We reserve the right to decline any purchase offer or negotiate terms based on our assessment. Pricing offers are typically valid for a limited time period and subject to market conditions.

Market-Loss Policy

Policy Overview

The Market-Loss Policy protects GR Reserve from financial losses resulting from customer defaults while ensuring fair treatment of customers who fulfill their obligations. This policy applies to both purchase and sale transactions and reflects standard industry practices for precious-metals dealers.

Customer Default on Purchases from GR Reserve

If you fail to make timely payment, provide required documentation, or otherwise breach your purchase obligations, and we cancel your order as a result, you may be liable for:

Market Loss Calculation: Market Loss equals the difference between your locked purchase price and the Fair Market Value at the time of cancellation, if this difference is positive (meaning the market price has declined since your order).

Total Liability: Your total liability equals the Market Loss amount plus the greater of USD $50.00 or five percent (5 %) of the original order total as an administrative fee.

Market Gain: If the Fair Market Value at cancellation exceeds your locked price (meaning you would have benefited from the market movement), any such gain belongs entirely to GR Reserve.

Customer Default on Sales to GR Reserve

If GR Reserve activates its buy-back program and you fail to ship items as agreed, fail to meet quality or quantity specifications, or otherwise breach your sale obligations, you may be liable under the same formula described above, where Market Loss equals the difference between the Fair Market Value and your locked sale price, if positive.

Payment Terms and Collection

Payment Deadline: Outstanding Market-Loss balances must be paid within thirty (30) days of invoice date. We accept payment by credit card, bank wire, or certified check.

Account Suspension: Your ability to place future orders or engage in transactions with GR Reserve will be suspended until any outstanding Market-Loss balance is paid in full.

Collection Procedures: Unpaid Market-Loss balances may be subject to collection procedures, including engagement of third-party collection agencies or legal action. You will be responsible for all reasonable collection costs, including attorney fees.

Fair Market Value Determination

Fair Market Value is determined by GR Reserve based on prevailing wholesale market prices from recognized industry sources, including but not limited to major precious-metals exchanges, dealer networks, and published market data. We use multiple sources to ensure accurate and fair market valuations.

Binding Contract and Cancellations

Contract Formation

A confirmed order number constitutes a binding purchase contract between you and GR Reserve. This contract becomes effective immediately upon generation of your order confirmation number, regardless of payment status. Both parties are legally obligated to fulfill their respective obligations under the terms of this Agreement.

Customer Cancellation Policy

No Customer Cancellations: Once you have placed your order with GR Reserve, you have entered into a binding legal agreement and cannot cancel your confirmed order. This policy ensures pricing integrity, prevents market manipulation, and protects both parties from market volatility.

Binding Nature: The binding nature of orders reflects the significant resources we invest in inventory management, price hedging, and order processing based on confirmed orders. We expect customers to honor their commitments just as we commit to honoring our pricing and delivery obligations.

GR Reserve Cancellation Rights

Company Cancellation Authority: GR Reserve reserves the right to refuse or cancel any order for any reason or for no reason at all, regardless of payment method or price confirmation. This authority includes, without limitation:

  • Orders we deem questionable, suspicious, or potentially fraudulent
  • Orders we consider to present significant financial or operational risk
  • Situations where confirmed pricing is incorrect due to technical errors or system malfunctions
  • Periods of abrupt movements in precious-metals markets that create extraordinary risk
  • Instances where payment is not received within the allotted timeframe
  • Orders that exceed our available inventory or operational capacity

Error Correction: GR Reserve is not responsible for pricing or typographical errors and expressly reserves the right, in our sole and absolute discretion, to cancel any and all orders placed with respect to items affected by such errors. Technical errors, data entry mistakes, and system malfunctions do not create binding obligations at incorrect prices.

Cancellation Notification: In the event of a canceled order, GR Reserve will contact you directly with notification of the cancellation. For cancellations due to pricing errors or technical issues, we will provide a full refund of any payments received.

Title and Risk of Loss Transfer

Title Transfer: Legal title to purchased goods transfers to you upon acceptance of the shipment by the designated carrier (USPS, UPS, or FedEx). However, you do not obtain physical possession until actual delivery.

Risk of Loss: Risk of loss transfers according to the insurance provisions outlined in Section 3 of this Agreement. GR Reserve maintains insurance coverage until successful delivery with signature confirmation, subject to the limitations described therein.

Complete Agreement

This Agreement, together with your specific order confirmation and our Privacy Policy, represents the complete understanding between you and GR Reserve regarding the subject matter herein. This Agreement supersedes all prior negotiations, representations, or agreements relating to these matters, whether written or oral.

General Provisions

Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Massachusetts, and both parties consent to the jurisdiction of such courts.

Dispute Resolution

Informal Resolution: Before initiating any formal legal proceedings, the parties agree to attempt good faith resolution of disputes through direct communication. Either party may initiate this process by providing written notice of the dispute to the other party.

Binding Arbitration: If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Massachusetts, and the arbitrator’s decision shall be final and binding.

Exceptions: Notwithstanding the arbitration requirement, either party may seek injunctive relief in court for matters involving intellectual property rights, confidential information, or other equitable remedies.

Fraud Investigation and Prosecution

GR Reserve reserves the right—but undertakes no obligation—to actively report and prosecute actual or suspected credit‑card or payment fraud. We may require additional verification (e.g., telephone confirmation, government ID, bank proof, or proof of address), cancel or recall shipments, and capture order information used to identify fraudulent activity. With or without subpoena, we may submit all related records to law‑enforcement agencies and card networks and will cooperate fully to prosecute offenders to the fullest extent of the law.

Limitation of Liability

Consequential Damages: In no event shall GR Reserve be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost opportunities, or business interruption, regardless of the theory of liability and even if GR Reserve has been advised of the possibility of such damages.

Maximum Liability: GR Reserve’s total liability to you for any claims arising under this Agreement shall not exceed the total amount you paid to GR Reserve for the specific transaction giving rise to the claim.

Time Limitation: Any claims against GR Reserve must be brought within one (1) year of the date the cause of action arose, or such claims shall be forever barred.

Indemnification

You agree to indemnify and hold harmless GR Reserve, its parent company, affiliates, officers, directors, employees, and agents from and against any loss, liability, damages, claims, actions, or demands—including reasonable attorneys’ fees—arising out of (a) your breach of this Agreement or (b) your misuse of the Website or our services.

Force Majeure

GR Reserve shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, supplier failures, or other unforeseeable events.

Confidentiality

You agree to hold in strictest confidence the existence and terms of every transaction with GR Reserve, including any dispute and any resolution thereof. Disclosure is permitted only where required by applicable law or by a court of competent jurisdiction. If you learn that disclosure may be compelled (e.g., by subpoena), you must promptly notify GR Reserve in writing and cooperate in good faith to obtain a protective order or other appropriate relief.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Amendment and Modification

GR Reserve reserves the right to modify this Agreement at any time by posting updated terms on our website. Material changes will be effective thirty (30) days after posting, and continued use of our services after such changes constitutes acceptance of the modified terms. For significant changes, we may provide additional notice via email to registered customers.

Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. GR Reserve may assign this Agreement or any of its rights hereunder to any affiliate or in connection with any merger, acquisition, or sale of assets.

Waiver

No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any other provision. No waiver shall be effective unless made in writing and signed by the party making the waiver.

Termination

Either party may terminate this Agreement, for any reason or no reason, at any time by providing written notice to the other party. Termination shall not affect rights or obligations that accrued prior to the effective termination date.

Survival

Provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to warranty disclaimers, liability limitations, indemnification obligations, and dispute resolution procedures.

Intellectual Property Rights

The GR Reserve website and all content contained therein, including but not limited to logos, trademarks, service marks, images, photographs, text, graphics, software, and design elements, are the exclusive intellectual property of GR Reserve LLC or our licensors. All rights are reserved under applicable copyright, trademark, and other intellectual property laws.

Permitted Use

You are granted a limited, non-exclusive, non-transferable license to access and use our website for legitimate business purposes related to purchasing precious metals and numismatic items. This license does not permit you to:

  • Reproduce, distribute, or publicly display any website content without written permission
  • Use automated systems, robots, or data mining tools to extract pricing or product information
  • Reverse engineer, decompile, or attempt to discover the source code of our website
  • Post or transmit any unlawful, threatening, defamatory, or inappropriate material
  • Interfere with the proper functioning of our website or security systems

User Accounts and Security

Account Registration: To access certain features of our website, you may be required to create a user account with a valid email address and secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • Infringe upon the rights of others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Engage in any activity that could damage, disable, or impair our website
  • Use our platform for money laundering or other illegal financial activities

Website Availability and Modifications

While we strive to maintain continuous website availability, we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our website at any time without prior notice. We may also impose usage limitations or restrict access for maintenance, security, or other operational reasons.

We use collected information to process orders, prevent fraud, comply with Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements, communicate with customers, and improve our services.

Information Sharing

We do not sell or rent personal information to third parties. We may share information with service providers, law enforcement agencies when required by law, or in connection with business transfers.

Data Security

We implement appropriate technical and organizational measures to protect personal information against unauthorized access, alteration, disclosure, or destruction.

Definitions

For purposes of this Agreement, the following terms have the meanings set forth below:

“Agreement” means this User Agreement, including all amendments, modifications, and supplements hereto.

“Anti-Money Laundering” or “AML” refers to laws, regulations, and procedures designed to prevent the use of financial systems for money laundering activities.

“Business Day” means any day that is not a Saturday, Sunday, or federal holiday in the United States.

“Customer” means any individual or entity that purchases products or services from GR Reserve or uses our website.

“Fair Market Value” means the prevailing wholesale market price for precious metals or numismatic items as determined by GR Reserve using recognized industry sources and pricing mechanisms.

“Fast-Fulfillment Program” refers to GR Reserve’s expedited shipping service for qualifying orders as described in Section 4.

“Good Funds” means payment that has been verified as cleared and irrevocable according to the standards set forth in Section 2.

“GR Reserve” means GR Reserve LLC, a Massachusetts limited liability company operating under Glines & Rhodes Inc., and its successors and assigns.

“Know Your Customer” or “KYC” refers to regulatory requirements for customer identification, verification, and due diligence procedures.

“Market-Loss Policy” refers to the policy described in Section 9 governing liability for market losses resulting from order cancellations or defaults.

“Numismatic” refers to coins, medals, or other items that derive value from their collectible nature, rarity, historical significance, or artistic merit, in addition to their precious-metal content.

“Order” means a request to purchase or sell precious metals or numismatic items submitted to GR Reserve through any means.

“Precious Metals” means gold, silver, platinum, palladium, and other metals commonly traded as investment commodities.

“Pre-Order” means an order for items not yet available from manufacturers or mints, subject to future delivery upon product availability.

“Price Lock” or “Price-Lock Time” means the moment when product pricing becomes fixed and guaranteed for a customer’s order, typically upon generation of an order confirmation number.

“Return Merchandise Authorization” or “RMA” means written authorization from GR Reserve required for returning products, including specific instructions and reference numbers.

“User Agreement” means this document and all its provisions, as may be amended from time to time.

“Website” means the GR Reserve website located at grreserve.com and all associated subdomains and pages.

“Wholesale” refers to customers who have been approved for wholesale pricing and terms based on volume commitments and creditworthiness.
